These Terms of Service ("Terms") govern access to and use of Project Hub (the "Service"), provided by ORCHEXIS LLC ("Company," "we," "us," or "our"). By creating an account, accessing, or using the Service, you ("Customer," "you," or "your") agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.
If you do not agree to these Terms, do not access or use the Service.
1. The Service
Project Hub is a portfolio and project-management platform that allows organizations to track projects, milestones, status updates, and related organizational data ("Customer Data"). We may add, change, or remove features from the Service from time to time.
2. Accounts and Organizations
- You must provide accurate, current information when creating an account and keep it up to date.
- You are responsible for safeguarding your account credentials and for all activity that occurs under your account.
- Every account belongs to an organization. The person who creates an organization is its initial Admin and may invite additional users and assign them roles (Admin, PM, Member, or Viewer) that determine their level of access within that organization.
- You must notify us promptly of any unauthorized use of your account or any other breach of security.
3. Subscription Plans, Trials, and Billing
- The Service is offered under Individual and Business subscription plans, each with pricing as displayed on our Pricing page at the time of purchase. Business plans are billed per seat, subject to a minimum seat count disclosed at checkout.
- New subscriptions may include a free trial period as disclosed at signup. We may require a valid payment method to be on file to continue the subscription after the trial ends, depending on the offer in effect at the time.
- Subscriptions renew automatically for successive billing periods (monthly or annual, as selected) unless cancelled before the renewal date. Fees are billed in advance and are non-refundable except as required by law or as we expressly state otherwise.
- You may cancel your subscription at any time through the Billing page or the Stripe-hosted billing portal. Cancellation takes effect at the end of the current billing period; you retain access to paid features until then.
- We may change our prices with reasonable advance notice. Price changes take effect at your next renewal.
- Payments are processed by Stripe, Inc. We do not store your full payment card details.
4. Customer Data
As between you and us, you own all Customer Data you or your organization's users submit to the Service — including project names, statuses, milestones, updates, and any files or content you upload. You grant us a limited license to host, process, and display Customer Data solely as necessary to provide and support the Service to you.
You are responsible for the accuracy, quality, and legality of Customer Data and for having all rights necessary to submit it to the Service.
5. Acceptable Use
You agree not to:
- Use the Service to violate any applicable law or the rights of any third party;
- Attempt to gain unauthorized access to the Service, other accounts, or other organizations' data;
- Interfere with or disrupt the integrity or performance of the Service, including via automated scraping, load testing, or bypassing rate limits without our written consent;
- Reverse engineer, decompile, or attempt to extract the source code of the Service, except where applicable law permits it despite this restriction;
- Resell, sublicense, or provide the Service to third parties as a service bureau, except as expressly permitted by your plan; or
- Upload malicious code or content that infringes the intellectual property or privacy rights of others.
6. Roles, Permissions, and Organization Administration
Organization Admins are responsible for managing user access within their organization, including inviting and removing users, assigning roles, and configuring organization settings. We are not responsible for an Admin's decisions about who is granted access to an organization's Customer Data.
7. Data Security
We implement technical and organizational measures designed to protect Customer Data, including tenant-isolated data access controls and encryption of data in transit. No method of transmission or storage is completely secure, and we cannot guarantee absolute security. See our Privacy Policy for more detail on how we handle personal data.
8. Intellectual Property
We and our licensors retain all right, title, and interest in and to the Service, including all software, design, and branding, excluding Customer Data. Nothing in these Terms transfers any of our intellectual property rights to you, except the limited right to use the Service as permitted here.
9. Confidentiality
Each party may have access to confidential information of the other. Each party agrees to protect the other's confidential information using at least the same degree of care it uses for its own confidential information of similar nature, and not less than reasonable care, and to use it only as necessary to perform under these Terms.
10. Term and Termination
- These Terms remain in effect for as long as you have an account with the Service.
- You may terminate your account at any time by cancelling your subscription and, if desired, requesting deletion of your organization's data.
- We may suspend or terminate your access if you materially breach these Terms and fail to cure the breach within a reasonable period after notice, or immediately if necessary to prevent harm to the Service or other customers.
- Upon termination, your right to access the Service ends. We may retain Customer Data for a limited period after termination as described in our Privacy Policy, after which it will be deleted or anonymized, except where retention is required by law.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL EITHER PARTY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for gross negligence, willful misconduct, or death or personal injury caused by negligence.
13. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your misuse of the Service, or Customer Data you submit, except to the extent caused by our breach of these Terms.
14. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice, such as by email or an in-product notice, before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
15. Governing Law and Disputes
These Terms are governed by the laws of [insert governing jurisdiction], without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms will be resolved in the courts located in [insert venue], and each party consents to the exclusive jurisdiction of those courts.
16. General

- Our failure to enforce any provision of these Terms is not a waiver of that provision.
